The following LocalHomePro Terms of Service (“Terms of Service”) shall incorporate and govern the LocalHomePro Privacy Policy (“Privacy Policy”) and any and all other applicable LocalHomePro operating rules, policies, and supplemental terms and conditions or documents that may be published from time to time (collectively, the “Agreement”).
You agree, without limitation or qualification, to be bound by the terms of the Agreement in its entirety when you: (a) access the Site; (b) submit a request for contractor matching or home improvement services through any form on the Site (collectively, “Lead Services”) in order to be connected with home services contractors and professionals (collectively, “Third-Party Offerings”) as offered and provided by the third-party contractors and home services professionals connected through the Site (collectively, “Third-Party Service Providers”); (c) access articles, guides, cost guides, or other content on the Site (“Content”); (d) utilize any interactive features of the Site, including forms, quizzes, calculators, or feedback tools (“Interactive Services”); and/or (e) access links to our social media pages on third-party platforms such as Facebook®, Instagram®, YouTube®, and TikTok® (“Social Media Pages,” and together with the Site, Lead Services, Content, Interactive Services, and Social Media Pages, the “LocalHomePro Offerings”).
Electronic Agreement and E-SIGN Act Disclosure. This Agreement is an electronic contract entered into under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001) and applicable state electronic signature laws. By accessing the Site or submitting any form, you affirmatively consent to: (a) transact business with LocalHomePro electronically; (b) receive this Agreement, the Privacy Policy, and all notices, disclosures, and communications from LocalHomePro in electronic form; and (c) execute this Agreement and all related documents electronically. You have the right to receive this Agreement in non-electronic form. To request a paper copy, contact us at support@stoymedia.com or call (773) 217-0793. You may withdraw your consent to electronic records at any time by contacting us, though doing so will terminate your ability to use the LocalHomePro Offerings. Your electronic acceptance of this Agreement — whether by clicking a button, submitting a form, or continuing to use the Site — constitutes your legal signature and binding acceptance of all terms herein.
PLEASE REVIEW THIS AGREEMENT CAREFULLY. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT IN THEIR ENTIRETY, YOU ARE NOT AUTHORIZED TO USE THE LOCALHOMEPRO OFFERINGS IN ANY MANNER OR FORM.
NOTICE: THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, RELEASES, A CLASS-ACTION WAIVER, AND THE REQUIREMENT TO ARBITRATE ANY AND ALL CLAIMS THAT MAY ARISE HEREUNDER AGAINST LOCALHOMEPRO, AS WELL AS ITS PARENT, SUBSIDIARIES, AFFILIATED COMPANIES, RELATED PARTIES, AND THIRD-PARTY SERVICE PROVIDERS (COLLECTIVELY, “COVERED PARTIES”), WHO ARE EXPRESS THIRD-PARTY BENEFICIARIES OF THE MANDATORY ARBITRATION PROVISION CONTAINED HEREIN. THE AFOREMENTIONED PROVISIONS ARE AN ESSENTIAL BASIS OF THIS AGREEMENT.
IMPORTANT: LOCALHOMEPRO IS A LEAD GENERATION AND REFERRAL SERVICE ONLY. LOCALHOMEPRO IS NOT A CONTRACTOR, DOES NOT PERFORM ANY HOME IMPROVEMENT OR CONTRACTING SERVICES, DOES NOT EMPLOY ANY CONTRACTORS, AND IS NOT A PARTY TO ANY AGREEMENT BETWEEN YOU AND ANY THIRD-PARTY SERVICE PROVIDER. ALL HOME SERVICES ARE PERFORMED SOLELY BY INDEPENDENT THIRD-PARTY SERVICE PROVIDERS WHO ARE NOT AGENTS, EMPLOYEES, OR REPRESENTATIVES OF LOCALHOMEPRO. LOCALHOMEPRO IS NOT LIABLE FOR THE ACTS, OMISSIONS, WORKMANSHIP, CONDUCT, NEGLIGENCE, FRAUD, OR FAILURE TO PERFORM OF ANY THIRD-PARTY SERVICE PROVIDER.

LocalHomePro is not affiliated with these entities, and the LocalHomePro Offerings are not endorsed, administered, or sponsored by any of the aforementioned entities.
1. SCOPE / MODIFICATION OF AGREEMENT
The Agreement constitutes the entire and only agreement between you and LocalHomePro with respect to your use of the LocalHomePro Offerings, and supersedes all prior or contemporaneous agreements, representations, warranties, and/or understandings. We may amend the Agreement from time to time in our sole discretion; provided, however, that: (a) any amendment or modification to the arbitration provisions, prohibition on class action provisions, or any other provisions applicable to dispute resolution (collectively, “Dispute Resolution Provisions”) shall not apply to any disputes incurred prior to the applicable amendment or modification; and (b) for any material amendment to this Agreement — including any change to the Dispute Resolution Provisions, Limitation of Liability, or Indemnification sections — we will provide you with notice by email to the address associated with your submission before such changes take effect. Non-material amendments, such as corrections of typographical errors or clarifications that do not alter your rights or obligations, may be made without prior notice. The latest Agreement will be posted on the Site, and you should review the Agreement prior to using the LocalHomePro Offerings. By your continued use of the LocalHomePro Offerings following notice of any amendment, you hereby agree to comply with, and be bound by, all of the terms and conditions contained within the Agreement effective at that time.
If LocalHomePro terminates the Agreement for any reason, LocalHomePro shall have no liability or responsibility to you. You understand and agree that refusal to use the LocalHomePro Offerings is your sole right and remedy with respect to any dispute with LocalHomePro.
2. NATURE OF LOCALHOMEPRO’S SERVICES — NOT A CONTRACTOR
LocalHomePro is a lead generation and referral matching service. LocalHomePro’s sole function is to collect information submitted by homeowners and consumers seeking home improvement services and to transmit that information to independent Third-Party Service Providers (contractors) who have agreed to receive such leads. LocalHomePro receives financial compensation from Third-Party Service Providers for facilitating these connections.
LocalHomePro is not a contractor, subcontractor, general contractor, home improvement company, or construction company of any kind. LocalHomePro does not perform, supervise, manage, oversee, or participate in any home improvement, construction, repair, installation, remodeling, roofing, or any other contracting or trade services. LocalHomePro does not employ, retain, or control any Third-Party Service Provider. All Third-Party Service Providers are independent businesses that are not agents, employees, franchisees, joint venturers, or partners of LocalHomePro in any respect.
LocalHomePro does not sponsor, recommend, or endorse any Third-Party Service Provider accessible through the Site. LocalHomePro does not vet, screen, verify, license, bond, or insure any Third-Party Service Provider. LocalHomePro makes no representations whatsoever regarding the competency, trustworthiness, honesty, integrity, licensure, insurance status, compliance with applicable law, or behavior of any Third-Party Service Provider. You, as a homeowner or Site user, are solely and exclusively responsible for independently verifying the licensing, insurance, bonding, credentials, references, and qualifications of any contractor you consider engaging before entering into any agreement with that contractor or allowing any work to be performed on your property.
The ultimate terms, pricing, scope of work, warranties, workmanship standards, permits, compliance with building codes, and conditions of any services provided by any Third-Party Service Provider are determined solely and exclusively by that Third-Party Service Provider. LocalHomePro has no involvement in, control over, or responsibility for the negotiation, execution, performance, or outcome of any agreement between you and any Third-Party Service Provider.
3. STOYMEDIA VERIFIED PROGRAM
Certain Third-Party Service Providers displayed on or in connection with the LocalHomePro Offerings may be identified with a “StoyMedia Verified” designation. This designation indicates only that the applicable Third-Party Service Provider has confirmed their service area and business category with LocalHomePro. The StoyMedia Verified designation does not constitute, and should not be interpreted as: (a) an endorsement of the Third-Party Service Provider; (b) a verification of the Third-Party Service Provider’s licensing, bonding, or insurance status; (c) a guarantee of the quality, safety, legality, or outcome of any services performed; or (d) any certification, approval, or recommendation by LocalHomePro, StoyMedia LLC, or any governmental or regulatory authority.
Site users are solely responsible for independently verifying any contractor’s licensing, bonding, insurance, and qualifications before hiring. LocalHomePro expressly disclaims any liability arising from a Site user’s reliance on the StoyMedia Verified designation.
4. REQUIREMENTS
The LocalHomePro Offerings are available only to individuals who can enter into legally binding contracts under applicable law. The LocalHomePro Offerings are not intended for use by individuals under eighteen (18) years of age. If you are under eighteen (18) years of age, you do not have permission to use and/or access the LocalHomePro Offerings.
By accessing or using the LocalHomePro Offerings and submitting any form or request on the Site, you affirmatively represent and warrant that you are at least eighteen (18) years of age and that you have the legal capacity to enter into a binding agreement.
5. LEAD SERVICES / FORM SUBMISSION
LocalHomePro does not itself provide any contracting, construction, or home services work of any kind. The ultimate terms and conditions of any Third-Party Offerings will be determined solely by the applicable Third-Party Service Providers.
To be connected with Third-Party Service Providers through the Lead Services, you must complete the applicable form on the Site. The information you must supply on the form includes, but is not limited to: your name, email address, telephone number, home address, and the category and description of the home services project applicable to your inquiry (collectively, the “Lead Submission Data”). You agree to provide true, accurate, current, and complete Lead Submission Data. LocalHomePro’s use of the Lead Submission Data shall be governed by the Privacy Policy.
Upon submitting your Lead Submission Data, your information may be transferred to one or more Third-Party Service Providers in your designated geographic area. LocalHomePro makes no guarantee that any Third-Party Service Provider will contact you, that you will receive a quote, or that any services will be performed.
Homeowners do not pay LocalHomePro for access to the Lead Services. LocalHomePro is compensated by Third-Party Service Providers for connecting them with homeowners.
6. PROHIBITED CONDUCT
You agree to use the LocalHomePro Offerings in full compliance with all applicable laws, rules, and regulations. In connection with your use of the LocalHomePro Offerings, you agree not to:
(i) submit false, inaccurate, or misleading Lead Submission Data, including but not limited to providing a false name, invalid telephone number, incorrect address, or fabricated project description;
(ii) impersonate any person or entity, or falsely represent your affiliation with any person or entity;
(iii) use any robot, spider, scraper, crawler, site search or retrieval application, or other manual or automated device or process to retrieve, index, data-mine, or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents;
(iv) post, distribute, or reproduce in any way any copyrighted material, trademarks, service marks, trade names, or other proprietary information of LocalHomePro or any third party without obtaining the prior written consent of the owner of such proprietary rights;
(v) copy, reproduce, duplicate, replicate, frame, mirror, or create derivative works from any portion of the LocalHomePro Offerings, including but not limited to the Site’s lead capture forms, page layouts, consent language, advertising copy, or any other content, for any purpose;
(vi) remove any copyright, trademark, or other proprietary rights notices contained in or on the LocalHomePro Offerings;
(vii) interfere with or disrupt the LocalHomePro Offerings and/or the servers or networks connected to same;
(viii) transmit any unsolicited or unauthorized advertising, promotional materials, spam, chain letters, or any other form of solicitation;
(ix) use the LocalHomePro Offerings for any commercial purpose not expressly authorized by LocalHomePro in writing;
(x) attempt to gain unauthorized access to any portion of the Site or any other systems or networks connected to the LocalHomePro Offerings; and/or
(xi) modify, adapt, sublicense, translate, sell, reverse engineer, decompile, or otherwise disassemble any portion of the LocalHomePro Offerings or any software used on or in connection with same.
Engaging in any of the aforementioned prohibited practices shall be deemed a material breach of the Agreement and may result in the immediate termination of your access to some or all of the LocalHomePro Offerings without notice.
7. LICENSE GRANT
As a user of the Site, you are granted a non-exclusive, non-transferable, revocable, and limited license to access and use the LocalHomePro Offerings and associated content solely in accordance with this Agreement. LocalHomePro may terminate this license at any time, for any reason, without notice and without liability. You may only use the LocalHomePro Offerings for your own personal, non-commercial use. No part of the LocalHomePro Offerings may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical.
8. PROPRIETARY RIGHTS
The content, organization, graphics, design, compilation, digital conversion, software, services, lead capture forms, consent language, advertising copy, and all other materials related to the LocalHomePro Offerings are protected under applicable copyright, trademark, and other proprietary and intellectual property rights. The copying, redistribution, reproduction, publication, or sale by you of any part of the LocalHomePro Offerings is strictly prohibited.
Systematic retrieval of material from the Site by automated means or any other form of scraping, crawling, or data extraction in order to create or compile, directly or indirectly, a collection, compilation, database, or directory without prior written permission from LocalHomePro is strictly prohibited.
The “LocalHomePro” name and logo, the “StoyMedia” name and logo, and all associated graphics, icons, trade names, and service names are proprietary to StoyMedia LLC. StoyMedia LLC asserts all available common law trademark and intellectual property rights in and to these marks. The unauthorized use, reproduction, copying, or imitation of any of these marks is strictly prohibited.
9. EDITING, MODIFICATION, SUSPENSION, AND TERMINATION
We reserve the right, in our sole discretion and at any time, without notice and without liability to you or any third party, to: (a) edit, modify, or delete any documents, information, or other content appearing on the Site; (b) suspend, discontinue, or terminate access to all or any portion of the LocalHomePro Offerings; (c) modify, update, or change the features, functionality, or availability of the LocalHomePro Offerings; and/or (d) terminate this Agreement and your access to the LocalHomePro Offerings for any reason or no reason.
For the avoidance of doubt, this Section 9 governs operational changes to the Site and its features, content, and availability, and does not modify or supersede the notice requirements applicable to material amendments of this Agreement as set forth in Section 1.
10. LEGAL WARNING
Any attempt by any individual or entity, whether or not a LocalHomePro user, to damage, destroy, tamper with, vandalize, and/or otherwise interfere with the operation of the LocalHomePro Offerings is a violation of criminal and civil law, and LocalHomePro will diligently pursue any and all remedies against any offending individual or entity to the fullest extent permissible by law and in equity.
11. INDEMNIFICATION
You agree to indemnify and hold LocalHomePro, StoyMedia LLC, their respective parents, subsidiaries, and affiliates, and each of their respective members, officers, directors, employees, agents, and partners, harmless from and against any and all claims, expenses (including reasonable attorneys’ fees), damages, suits, costs, demands, and/or judgments whatsoever, made by any third party due to or arising out of: (a) your use of the LocalHomePro Offerings; (b) your breach of this Agreement; (c) any dispute between you and any Third-Party Service Provider or other third party arising from or related to services performed or not performed by any Third-Party Service Provider; (d) your violation of any rights of another individual and/or entity; and/or (e) the submission of false, inaccurate, or misleading Lead Submission Data by you.
12. DISCLAIMER OF WARRANTIES
THE LOCALHOMEPRO OFFERINGS ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS AND ALL WARRANTIES, EXPRESS AND IMPLIED, ARE DISCLAIMED TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW (INCLUDING, BUT NOT LIMITED TO, THE DISCLAIMER OF ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY, AND/OR FITNESS FOR A PARTICULAR PURPOSE). IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, LOCALHOMEPRO MAKES NO WARRANTY THAT: (A) THE LOCALHOMEPRO OFFERINGS WILL MEET YOUR REQUIREMENTS; (B) THE LOCALHOMEPRO OFFERINGS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) YOU WILL BE SUCCESSFULLY CONNECTED WITH ANY PARTICULAR THIRD-PARTY SERVICE PROVIDER; (D) ANY THIRD-PARTY SERVICE PROVIDER CONTACTED THROUGH THE LOCALHOMEPRO OFFERINGS IS LICENSED, INSURED, BONDED, QUALIFIED, OR COMPETENT TO PERFORM THE SERVICES YOU REQUIRE; (E) ANY WORK PERFORMED BY ANY THIRD-PARTY SERVICE PROVIDER WILL BE COMPLETED IN A WORKMANLIKE MANNER OR MEET ANY PARTICULAR STANDARD OF QUALITY; OR (F) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE LOCALHOMEPRO OFFERINGS WILL BE ACCURATE OR RELIABLE.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LOCALHOMEPRO OR THROUGH THE LOCALHOMEPRO OFFERINGS, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
13. LIMITATION OF LIABILITY
LOCALHOMEPRO IS A REFERRAL AND LEAD GENERATION SERVICE ONLY. LOCALHOMEPRO DOES NOT PERFORM HOME IMPROVEMENT OR CONTRACTING SERVICES AND IS NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, WORKMANSHIP, NEGLIGENCE, FRAUD, MISCONDUCT, OR FAILURE TO PERFORM OF ANY THIRD-PARTY SERVICE PROVIDER.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT LOCALHOMEPRO AND STOYMEDIA LLC SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, AND/OR EXEMPLARY DAMAGES INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF LOCALHOMEPRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), TO THE FULLEST EXTENT PERMISSIBLE BY LAW, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE LOCALHOMEPRO OFFERINGS; (B) ANY SERVICES PERFORMED OR NOT PERFORMED BY ANY THIRD-PARTY SERVICE PROVIDER; (C) ANY CONTRACTOR’S WORKMANSHIP, CONDUCT, NEGLIGENCE, FRAUD, OR FAILURE TO PERFORM; (D) THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR LEAD SUBMISSION DATA; AND/OR (E) ANY OTHER MATTER RELATING TO THE LOCALHOMEPRO OFFERINGS.
IF APPLICABLE LAW DOES NOT PERMIT SUCH LIMITATIONS, THE MAXIMUM LIABILITY OF LOCALHOMEPRO TO YOU UNDER ANY AND ALL CIRCUMSTANCES WILL BE FIVE HUNDRED DOLLARS ($500.00); PROVIDED, HOWEVER, THAT THIS FIVE HUNDRED DOLLAR ($500.00) CAP SHALL NOT APPLY TO CLAIMS FOR PERSONAL INJURY OR TANGIBLE PROPERTY DAMAGE TO THE EXTENT CAUSED BY LOCALHOMEPRO’S OWN GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, AS DISTINGUISHED FROM THE INDEPENDENT ACTS OR OMISSIONS OF ANY THIRD-PARTY SERVICE PROVIDER. SOME JURISDICTIONS, SUCH AS NEW JERSEY, MAY NOT ALLOW CERTAIN LIMITATIONS ON LIABILITY, AND IN SUCH JURISDICTIONS THE LIABILITY OF LOCALHOMEPRO SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
14. THIRD-PARTY WEBSITES
The Site may contain links to and/or references to third-party Internet websites and/or resources, including Third-Party Service Provider websites and social media platforms. LocalHomePro is not responsible for the availability of such third-party websites and/or resources, and does not endorse, and is not responsible or liable for, any terms and conditions, privacy policies, content, advertising, services, products, and/or other materials at or available from such third-party websites or resources, or for any damages and/or losses arising therefrom.
15. DISPUTE RESOLUTION
This Agreement shall be treated as though it were executed and performed in Illinois and shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.
Delegation of Arbitrability. Any dispute about the scope, validity, or enforceability of this arbitration agreement — including whether a particular claim is subject to arbitration — shall itself be resolved exclusively by binding arbitration pursuant to this Section, and not by any court. The parties expressly delegate to the arbitrator the exclusive authority to resolve all threshold questions of arbitrability.
You hereby agree to arbitrate all claims that may arise under this Agreement that you may have against LocalHomePro or any of the Covered Parties, who are express third-party beneficiaries of this mandatory arbitration provision. Without limiting the foregoing, should a dispute arise between you and LocalHomePro and/or any Covered Party: (a) the parties agree to submit their dispute for resolution by binding arbitration before the American Arbitration Association (“AAA”) pursuant to the AAA Consumer Arbitration Rules then in effect, which rules are incorporated herein by reference and are available at www.adr.org; and (b) you agree to first attempt to resolve any dispute informally by contacting LocalHomePro at support@stoymedia.com. If we cannot satisfactorily resolve your dispute informally within thirty (30) days, you may proceed to formal arbitration as set forth herein.
Venue. Arbitration shall be conducted in McHenry County, Illinois; provided, however, that if you reside outside of Illinois, you may elect to conduct the arbitration by telephone or written submissions, or in the county of your primary residence, at your option. For claims of Ten Thousand Dollars ($10,000.00) or less, you may choose whether the arbitration proceeds in person, by telephone, or based only on written submissions.
Fees. Arbitration filing fees and arbitrator compensation shall be allocated in accordance with the AAA Consumer Arbitration Rules, which generally require LocalHomePro to bear the costs of arbitration beyond your initial filing fee. Any award rendered shall be final and conclusive to the parties and a judgment thereon may be entered in any court of competent jurisdiction. LocalHomePro will not seek an award of attorneys’ fees and expenses against you unless the arbitrator determines that your claim was frivolous.
Class Action Waiver. To the extent permitted by law, you agree that you will not bring, join, or participate in any class action lawsuit as to any claim, dispute, or controversy that you may have against LocalHomePro and/or any Covered Party. Notwithstanding the foregoing, nothing in this Agreement shall be construed to waive, limit, or restrict any right you may have to seek public injunctive relief that cannot lawfully be waived or arbitrated under applicable law, including under McGill v. Citibank, N.A., 2 Cal.5th 945 (2017), or any successor authority. Any such claim for public injunctive relief may be brought in a court of competent jurisdiction and shall be stayed pending the resolution of any individual arbitrable claims between the parties.
You may opt out of these dispute resolution provisions by providing written notice of your decision to support@stoymedia.com within thirty (30) days of the date that you first access the Site.
16. MISCELLANEOUS
Should any part of the Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. Our failure to enforce any provision of the Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. The parties do not intend that any agency or partnership relationship be created through operation of the Agreement. LocalHomePro may assign its rights and obligations under the Agreement, in whole or in part, to any party at any time without any notice to you. The Agreement may not be assigned by you, and you may not delegate your duties under it. Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section.
17. CALIFORNIA END-USER CONSUMER RIGHTS
